Interpretation and Definitions
Interpretation
Words with capitalised initials have meanings defined under the following conditions. The following definitions apply whether they appear in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interests, or other securities entitled to vote for directors or other managing authorities.
Company (referred to as “AdVoyager”, “We”, “Us” or “Our” in this Agreement) refers to AdVoyager Ltd, a company registered in the United Kingdom under company number 15982560, with its registered office at 1st Floor County House, 100 New London Road, Chelmsford, Essex, CM2 0RG.
AdLink Platform (also referred to as the “Service”) refers to AdLink, a platform developed and operated by AdVoyager that connects advertisers with Discord server owners for the purpose of paid advertising placements.
Advertiser means an individual or business entity using the Service to promote products, services, or campaigns through community ad placements.
Community Owner refers to the individual or entity managing a Discord server that receives payment in exchange for hosting advertisements on behalf of Advertisers.
Terms and Conditions (also referred to as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
You means the individual accessing or using the Service, or the company or legal entity on behalf of which such individual is accessing or using the Service, as either an Advertiser or Community Owner.
Acknowledgment
These Terms and Conditions govern the use of the Service and form the legally binding agreement between You and AdVoyager. These Terms apply to all users of the AdLink Platform, including but not limited to Advertisers and Community Owners.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of the Terms, You may not use the Service.
Eligibility
You represent that You are at least 16 years of age. If You are under 18, You must have the consent of a parent or guardian to use the Service. By using the Service, You confirm that You have this consent, and We assume that it is legally valid.
Use of the Service
Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
Prohibited Activities
You agree not to:
• Misrepresent server metrics or activity levels;
• Post, approve, or fund content that violates Discord’s Terms of Service or community guidelines;
• Use bots or automation tools in a way that violates third-party policies;
• Attempt to bypass platform safeguards or moderation;
• Use the Service to distribute illegal, misleading, or harmful content.
Advertiser Responsibilities
As an Advertiser, You agree to:
• Submit accurate and complete campaign information;
• Fund all campaigns in advance through Our payment gateway;
• Ensure all ad content complies with applicable laws, community guidelines, and Discord policies;
• Acknowledge that ad placements are not guaranteed and are subject to approval by Community Owners and Our moderation team.
Community Owner Responsibilities
As a Community Owner, You agree to:
• Host ads responsibly, maintaining a professional and high-quality server;
• Provide accurate server information, including member count and activity;
• Avoid fraudulent or misleading practices (e.g. fake engagement, botting);
• Promptly remove content that violates platform or advertiser standards.
AdVoyager reserves the right to suspend payouts or deactivate accounts that violate these responsibilities.
Payments and Payouts
Payment Process
Advertisers must fund campaigns in advance using the payment method available on the platform. All payments are processed through Stripe or other authorised providers.
Payouts
Community Owners receive earnings based on completed ad placements, subject to Our verification process. Payouts are issued monthly, subject to reaching a minimum payout threshold.
It is Your responsibility to ensure payout details are accurate. We are not liable for failed transactions due to incorrect account details.
Refunds and Cancellations
Campaign purchases are final and non-refundable once initiated. If a campaign cannot be delivered for reasons outside Our control (e.g. server suspension), You may be eligible for campaign credit at Our discretion.
If You cancel a campaign before it begins, a partial refund or credit may be provided, less administrative fees.
Intellectual Property
All intellectual property related to the Service (including branding, platform design, features, and code) remains the sole property of AdVoyager. You are granted a limited, non-exclusive licence to use the Service in accordance with these Terms.
Ad content submitted by Advertisers remains their property. However, by submitting ads, You grant Us and participating Community Owners a non-exclusive licence to display and distribute such content through the AdLink Platform.
Termination
We may suspend or terminate Your access to the Service at any time, without notice, for conduct that violates these Terms, breaches applicable law, or disrupts the integrity of the platform.
You may cease use of the platform at any time. Termination does not affect any outstanding obligations (e.g. unpaid campaigns or earnings).
Limitation of Liability
To the maximum extent permitted by law, AdVoyager shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:
• Loss of revenue or profits,
• Business interruption,
• Reputation damage,
• Data loss or corruption.
Our total liability to You for any claim shall not exceed the total fees paid by You to Us in the last six (6) months.
“AS IS” and “AS AVAILABLE” Disclaimer
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We make no warranties of any kind, express or implied, regarding the Service or any content or advertising hosted through it.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the resolution of any disputes.
Dispute Resolution
If You have a dispute or concern, You agree to attempt to resolve it informally by contacting Us first. We will use reasonable efforts to address all concerns promptly and fairly.
Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If material changes are made, We will provide reasonable notice through the Service or by email. Continued use of the Service after changes have been posted constitutes acceptance of the updated Terms.
