Interpretation and Definitions
Interpretation
Words with capitalized initials have meanings defined under the following conditions. The following definitions apply whether they appear in singular or plural.
Definitions
For the purposes of these Terms and Conditions:
- Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interests, or other securities entitled to vote for directors or other managing authorities.
- Company (referred to as "AdVoyager", "We", "Us" or "Our" in this Agreement) refers to AdVoyager Ltd, a company registered in the United Kingdom under company number 15982560, with its registered office at 1st Floor County House, 100 New London Road, Chelmsford, Essex, CM2 0RG.
- Device means any device that can access the Service such as a computer, cellphone, or digital tablet.Service refers to the Website and any associated services, products, or software.
- Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
- Third-party Social Media Service means any services or content (including data, information, products, or services) provided by a third-party that may be displayed, included, or made available by the Service.
- Website refers to AdVoyager, accessible from https://www.advoyager.ioYou means the individual accessing or using the Service, or the company or legal entity on behalf of which such individual is accessing or using the Service.
Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and AdVoyager. These Terms set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of the Terms, You may not access the Service.
Eligibility
You represent that you are at least 13 years of age. If You are under 18, You must have the consent of a parent or guardian to use the Service. By using the Service, You confirm that You have this consent, and We assume that it is legally valid. We do not permit anyone under the age of 13 to use the Service.
Use of the Service
- Permitted Use: You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Service.
- Prohibited Activities: You agree not to engage in any conduct that could harm or interfere with the Service, including but not limited to:
- Sending spam or unsolicited messages,
- Violating third-party terms of service,
- Infringing intellectual property rights,
- Engaging in fraudulent activities or illegal conduct.
Account Registration
To use certain features of the Service, You may be required to create an account. You are responsible for providing accurate and current information and for keeping Your account credentials secure. You agree to notify Us immediately of any unauthorized use of Your account.
Use of Bot Accounts
AdVoyager provides tools to assist with the automation of advertising within designated spaces on platforms such as Discord. Users have full control over the bot accounts they create using the Service, including their use, content, and behavior. By using the Service, You acknowledge that:
- You are solely responsible for any activity conducted using bot accounts associated with Your account.
- You must comply with all applicable laws and third-party terms of service (such as Discord’s Terms of Service).AdVoyager is not liable for any actions, content, or behavior that occurs through bot accounts created or operated by You.
- Any violations of platform rules or illegal activities are Your responsibility.
Payments and Subscriptions
Payment Process
We use Stripe to process payments for subscriptions. By subscribing to AdVoyager, You authorize Us to automatically charge Your payment method on a recurring monthly basis for the subscription fee. You can cancel Your subscription at any time by contacting Us or managing Your subscription through Your account settings.
Free Trial
We offer a 3-day free trial for our Paid Services. If You do not cancel the trial before it ends, Your account will be automatically charged for the subscription fee after the trial period expires.
Refunds
As our Service is billed on a monthly basis, we generally do not offer refunds for any paid subscriptions. Once Your subscription is charged, it is non-refundable. If You have any questions or concerns regarding a payment, please contact Us, and we will do our best to assist You. Cancellations will take effect at the end of the current billing cycle, and You will not be charged again.
Compensation Policy
If You are on a paying membership plan, AdVoyager (“We”) may, at Our discretion, offer compensation in specific situations. The following terms apply to compensation:
Form of Compensation: Compensation will only be offered in the form of a percentage discount applied to the next month’s subscription fee.
No Obligation: We are not obligated to provide compensation under any circumstances, and any compensation offered is discretionary.
Conditions of Application:The discount can only be applied to the next month’s billing cycle.If You cancel Your subscription before the next billing cycle begins or before the discount is applied, the compensation discount will be forfeited.
Non-Transferable: Compensation discounts are non-transferable and cannot be redeemed for cash or any other benefit.
Intellectual Property
AdVoyager retains all rights, title, and interest in the Service and any associated content, software, or materials. You are granted a limited, non-exclusive, revocable license to use the Service for Your own business or personal use, subject to these Terms.
Termination
We may suspend or terminate Your access to the Service at any time for any reason, including violation of these Terms. Upon termination, Your right to use the Service will cease immediately.
Limitation of Liability
To the fullest extent permitted by law, AdVoyager will not be liable for any indirect, incidental, special, or consequential damages resulting from the use of the Service, including but not limited to:
- Loss of data or profits,
- Business interruption,
- Personal injury,
- Privacy breaches.
In no event shall Our liability exceed the fees You have paid Us for the Service in the past six months.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.
Governing Law
These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. Any disputes will be resolved in the courts of England and Wales.
Disputes Resolution
If You have any concerns or disputes about the Service, You agree to first attempt to resolve the issue informally by contacting Us.
Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If We make material changes, We will notify You at least 30 days before the new terms take effect. By continuing to use the Service after these changes, You agree to be bound by the revised terms.
